Have you guys seen this (http://www.5etdemi.com/blog/archives/2006/11/as2-to-as3-preprocessor-converter-first-draft/)? It will convert your AS 2.0 classes to AS 3.0. It appears it's not 100% full proof, so you will still have to make some edits, but it looks like this will save a lot of time.
